Terms of Service Agreement for Personified

Welcome to Personified! This terms of service agreement (the "Agreement") governs your use of the Personified website and services (collectively, the "Services"). By using the Services, you agree to be bound by this Agreement. If you do not agree to the terms and conditions of this Agreement, you may not use the Services.

1.Description of Services

Personified provides a platform for creating and deploying human-like chatbots. The Services include access to software and tools for designing and managing your chatbot, as well as hosting and maintenance services.

2. User Account and Responsibility

In order to use the Services, you must create a user account. You are responsible for maintaining the confidentiality of your account and password, and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.

3.User Content

The Services allow you to upload information, such as FAQs, product information, and other relevant data, to provide knowledge to your chatbot (collectively, "User Content"). You are solely responsible for the User Content you make available through the Services, and you represent and warrant that you have all rights necessary to do so.

4.Proprietary Rights

The Services and all content and software associated with the Services are the property of Personified and its licensors, and are protected by U.S. and international copyright and trademark laws. You may not use the Services or any content or software associated with the Services in any manner not expressly permitted by this Agreement.

5.Limitation of Liability

You agree that Personified will not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if Personified has been advised of the possibility of such damages), arising from or in connection with your use of the Services.
 

6. Termination

This Agreement is effective until terminated by either party. You may terminate this Agreement at any time by discontinuing use of the Services and destroying all materials obtained from the Services. This Agreement will terminate immediately without notice from Personified if, in its sole discretion, you fail to comply with any term or provision of this Agreement.

7.General Terms

This Agreement constitutes the entire agreement between you and Personified, and supersedes all prior agreements or understandings between the parties, whether written or oral, relating to the subject matter of this Agreement. This Agreement may not be amended except in writing signed by both parties. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The failure of either party to enforce any rights hereunder shall not be deemed a waiver of such rights or any other rights.
 

8. Governing Law

This Agreement will be governed by and construed in accordance with the laws of the Federal Republic of Germany, without giving effect to any principles of conflicts of law. You agree that any action at law or in equity arising out of or relating to this Agreement will be subject to the exclusive jurisdiction of the courts located in Germany.
